1. What services are covered by these Creator Program Terms
These TikTok Creator Program Terms (these “Creator Program Terms”) apply to any creator program product where you are asked to agree to these Creator Program Terms as a condition of access (each a “Creator Program”).
Our Terms of Service and any applicable Program Policies (please see Section 4 below) apply to Creator Programs and form part of these Creator Program Terms.
Capitalised terms not defined in these Creator Program Terms have the meanings given to them in our Terms of Service. For the purpose of these Creator Program Terms only, references in our Terms of Service to “Terms” include these Creator Program Terms and “Platform” include any Creator Program.
Please read these Creator Program Terms carefully. Please also read our Creator Program Privacy Policy, which supplements the TikTok Privacy Policy and TikTok Cookies Policy. In the event of any conflict between these Creator Program Terms and any other applicable terms and policies, these Creator Program Terms take precedence.
You form a contract with us when you confirm that you accept these Creator Program Terms or when you otherwise access a Creator Program.
In short: This is a contract between you and TikTok for accessing Creator Programs. You should read it.
2. Who you are contracting with
Creator Programs are provided to you by the company that you contract with in our Terms of Service, except that TikTok Information Technologies UK Limited is solely responsible for our payment, financial or tax obligations for Creator Programs.
In short: The specific TikTok company that you have a contract with is set out in our Terms of Service. TikTok Information Technologies UK Limited is responsible for any payment, financial or tax obligations for Creator Programs.
3. Minimum Eligibility Requirements
To access and participate in a Creator Program, you must:
be at least 18 years old; and
be resident in a country where TikTok offers the Creator Program.
In short: You need to be 18 or older to access and participate in a Creator Program and live in a country where the Creator Program is offered.
4. Program Policies
There may be additional requirements, terms, guidelines, rules or policies that apply to specific Creator Programs (“Program Policies”). For example, you may need to complete an onboarding or enrollment process. The Program Policies include the Creator Code of Conduct.
We will present Program Policies in the Creator Program product or communicate them to you in writing in advance (for example, by email). Program Policies form part of these Creator Program Terms and you must comply with them. If you do not agree, you should stop participating in a Creator Program.
In short: There may be some additional terms that apply if you use certain Creator Programs. We will provide you with any additional terms through the Creator Program or in writing.
5. Campaign Requirements
As part of a Creator Program, you may be given opportunities by an advertiser, brand, agency or other third party (a “Partner”) to participate in promotional activities (each a “Campaign”) to help advertise or otherwise promote a brand or product.
Partners may have additional requirements, terms, guidelines, rules or policies that apply to specific Campaigns (“Campaign Requirements”). For example, additional content requirements, information about how content may be used, and information about payment and other benefits for successful participation.
The Campaign Requirements will be presented to you in the Creator Program product or communicated to you in writing in advance (for example, by email) and you must comply with them if you wish to participate in the Campaign.
In short: There may be some additional requirements that apply if you participate in certain Campaigns, which will be provided to you through the Creator Program or in writing.
6. Campaign Specific Materials
You may use the content in the Creator Programs in accordance with the Platform permissions granted in our Terms of Service. However, if you are provided with content by a Partner to use in a specific Campaign, then you must only use that content for the purpose of participating in that Campaign and in accordance with the relevant Campaign Requirements.
In short: If you are provided with content to use in a specific Campaign, you can only use it for that specific Campaign.
7. Campaign Content
If you submit content for use in a Campaign (“Campaign Content”), then you must also comply with these Creator Program Terms in addition to the requirements that apply under the Terms of Service when you create, post or share content (for example, the Community Guidelines).
You also agree that the Campaign Content may be used by TikTok for the Campaign in accordance with the Campaign Requirements, in addition to the licences that you grant to TikTok and its Affiliates under the Terms of Service when you create, post or share content.
Unless stated otherwise in the Campaign Requirements, in exchange for your participation, TikTok’s rights to use Campaign Content are:
non-exclusive (which means that you can license your Campaign Content to others);
royalty-free (which means that we don’t pay you separately for this licence other than what may be owed to you in connection with a Campaign);
transferable (which means that we can give the rights you give us to someone else, such as our Affiliates (as described in our Terms of Service));
sub-licensable (which means that we can license your Campaign Content to others, for example, to service providers that help us to provide the Platform); and
worldwide (which means that the licence applies anywhere in the world).
This licence will last for a period of 2 years from the date that you submit your Campaign Content in accordance with the Campaign Requirements.
TikTok will collect information about the performance of your Campaign Content and may provide analytics to you and the relevant Partner for the Campaign. Please see our Creator Program Privacy Policy for further information.
In short: If you submit content for a Campaign then, if selected, it may be used for that Campaign by the Partner and TikTok. Partners may receive analytics about the Campaign.
8. Partner Contracts
When you participate in a Campaign, you will enter into a separate contract directly with the Partner to provide them with Campaign Content and related services (a “Partner Contract”). The Partner Contract will be entirely between you and the Partner. TikTok will not be a party to the Partner Contract and will not be responsible for ensuring that the Partner complies with their obligations in the Partner Contract.
For some Creator Programs, TikTok may provide a template contract through the Creator Program that you and/or a Partner may choose to use for the purpose of a Campaign ("Template Contract"). You must only use the Template Contract for Campaigns. The Template Contract is provided for convenience only and may not be suitable for your and the Partner's needs.
When entering a Partner Contract (including when using the Template Contract), please carry out your own assessment of the Partner, and carefully read the terms of the Partner Contract to ensure it is suitable for you. You may wish to consider seeking legal advice before entering into a Partner Contract (including when using the Template Contract). TikTok will not be responsible for the details of the Partner Contract, including when you use a Template Contract. You may not indicate that you are an employee of TikTok in any Partner Contract.
In short: You will need to enter into a contract with the Partner for each Campaign. TikTok has no responsibilities under any contract you enter into with the Partner for a Campaign.
9. Creator Payouts
Partners may offer payment or other benefits for your successful participation in a Campaign (each a “Creator Payout”). The details of the applicable Creator Payout (for example the amount, any measures of success or other requirements to receive the Creator Payout) will be provided in the Campaign Requirements.
Creator Programs or Campaigns may require you to receive Creator Payouts through the Platform (if such functionality is available in a country where TikTok offers the Creator Program). You should not apply for these Creator Programs or Campaigns if you don't want to receive Creator Payouts through the Platform. If you are not required to receive Creator Payouts through the Platform, you and the Partner may arrange for you to receive Creator Payout outside of the Platform.
For some Creator Programs, you and the Partner may need to agree to the Milestone Payment Agreement when you and/or the Partner choose to receive Creator Payouts through the Platform. This will be communicated to you in advance.
9.1.Creator Payouts made through the Platform
To receive Creator Payouts through the Platform:
Stripe Payments Europe Limited (registered in Ireland with company number 513174); or
Stripe Payments UK Ltd (registered in England and Wales with company number 084807710)
(together "Stripe"), will provide you with any regulated payment services. Stripe receives, holds and transfers any funds to you or on your behalf. We do not provide you with any payment services.
Payment services are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By accepting these Creator Program Terms and/or receiving Creator Payouts, you agree to be bound by the Stripe Services Agreement. To receive payment services from Stripe through the Platform, you agree to provide accurate and complete information about you (and, if applicable, your business) through the Platform.
You also authorise us to:
pass payout instructions to Stripe on your behalf;
share information about your Partner Contracts with Stripe as needed for you to receive Stripe’s payment services, including but not limited to: the requirements and amount of a Creator Payout; and any request to transfer funds to your own account; and
provide any other information to Stripe where reasonably required (for example, for legal reasons).
You won’t be able to receive payment services through the Platform (or your Creator Payouts may be delayed) if:
you do not agree to the Stripe Services Agreement;
you do not provide us with the information that Stripe needs;
Stripe terminates its Stripe Services Agreement with you, or refuses to provide you with payment services;
you do not provide an authenticated and valid digital payment account registered in your name, such as a bank account or PayPal account (“Payout Account”);
we are required to instruct Stripe to suspend (or delay) a Creator Payout for legal reasons; and/or
we determine, acting reasonably and objectively, that you have acted in a manner that means you have participated in a Campaign in breach of the law or material breach of these Creator Program Terms, the Program Policies and/or the Campaign Requirements (for example, you have acted dishonestly by generating false engagement with your Campaign Content on the Platform).
We will let you know if you need to meet any minimum requirements before you can transfer Creator Payouts to your Payout Account (for example, there may be a minimum Creator Payout amount). We may also instruct Stripe to transfer Creator Payouts to your Payout Account if you do not initiate a transfer to your Payout Account within 90 days from when you are eligible to transfer Creator Payouts.
9.2.Creator Payouts not made through the Platform
You are responsible for providing the correct payment details to the Partner for Creator Payouts that are not made through the Platform. TikTok has no involvement with any Creator Payouts that are not made through the Platform and you must resolve any problems with such Creator Payouts directly with the relevant Partner.
In short: For Creator Payouts made on the Platform, regulated payment services are provided to you by Stripe in accordance with the Stripe Connected Account Agreement. We will share certain information about you and your Partner Contracts with Stripe and you authorise us to provide instructions and information to Stripe as needed for you to receive payment services and for legal reasons. To receive a Creator Payout, you must provide us with details of your Payout Account and other requirements may apply.
You are responsible for any Creator Payouts not made through the Platform.
10. Confidentiality
When you access Creator Programs and participate in Campaigns, you may receive information that isn’t available to the general public (for example, contact details or information about new products). This information is confidential and you must not share it with anyone else for any reason except for:
your agent or representative (such as your lawyer), if they strictly need to know the information and have contractually agreed to keep the information confidential or owe a duty of confidentiality to you; or
where you are required to for legal reasons or your local law allows you to. In these circumstances, you will notify us as soon as possible if you are legally allowed to do so.
In short: You must keep confidential any non-public information you receive through a Creator Program.
11. Suspending or ending access to Creator Programs
Your rights and TikTok’s rights to suspend or terminate your TikTok account remain as set out in the Terms of Service. If your TikTok account is suspended or terminated, you will also lose access to Creator Programs. Your rights and TikTok’s rights to suspend or terminate your access or participation in a Creator Program or participating Campaign are set out below in these Creator Program Terms.
11.1.Your rights
You may stop accessing a Creator Program or, where possible, participating in a Campaign by following the instructions provided in your relevant Creator Program account, the Campaign Requirements or the Creator Program product.
You may not be able to stop participating in a Campaign and your Campaign Content will continue to be available to a Partner (even if you leave or terminate your account for a Creator Program) where:
the Campaign Requirements specify a final date for withdrawal from a Campaign and this date has passed; or
the time period that the Partner intends to use your Campaign Content in accordance with the Campaign Requirements has started.
The Partner Contract may have further information about your termination rights for a Campaign.
Please ensure you have received all Creator Payouts before ending your access to a Creator Program or closing your account. We may not be able to end your access to a Creator Program or close your account if there are outstanding Creator Payouts owed to you.
In short: We want you to stay, but you can go whenever you want if you close your account and stop using the Creator Programs. Your Campaign Content may still be used in accordance with the Campaign Requirements.
11.2.TikTok's rights
In the event of any suspected breach of these Creator Program Terms, we may investigate. While we do so, we are allowed to suspend your access to any Creator Program (including your right to receive Creator Payouts) and your participation in any Campaign, acting reasonably and objectively depending on the seriousness of the suspected breach.
We, subsequently, might determine to temporarily suspend or permanently terminate your access to a Creator Program or a Campaign, or impose limits on or restrict your access to features of a Creator Program if:
we determine, acting reasonably and objectively, that you are in material or repeated breach of these Creator Program Terms;
we have objective grounds to reasonably believe that you are about to seriously breach these Creator Program Terms;
your TikTok account is suspended or terminated in accordance with our Terms of Service;
we are legally required to do so; or
it is reasonably required in response to dealing with a serious technical or security issue.
We will notify you in advance unless we are not legally required or it is not possible to do so (such as for security reasons). If you think we have made a mistake in suspending or terminating your access to a Creator Program or suspending or delaying a Creator Payout, you can appeal through the appeal functionalities provided on the Platform and we will review our decision and decide again.
In short: We have rules and, if you break them, TikTok can take action against you which may include withholding Creator Payout and/or terminating your Creator Program account.
12. Relationship between you and TikTok
You and TikTok are, and will remain at all times, independent of each other.
These Creator Program Terms do not create an employment relationship between you and TikTok. You contract directly with the Partner when you participate in a Campaign and TikTok is not your employer or recruitment agent. You are not an employee of TikTok, not entitled to any employee rights or benefits from TikTok, and solely responsible for any tax liabilities that you may incur through your participation in a Creator Program.
You must not present yourself as a TikTok employee, representative or agent.
In short: You and TikTok are independent and we do not have an employment relationship. You will enter into a contract directly with the Partner when participating in a Campaign.
